Purpose of the role Our Legal Treasury & Finance team in Switzerland (Lausanne) is seeking an attorney who will be effective in exercising seasoned judgment and providing guidance to business and functional leaders across the organization with the responsibility for performing a variety of moderately complex to complex legal matters and leading projects including day-to-day advice to the company and its business professionals on a range of financing and capital market issues. Key responsibilities -Partners with internal clients to create proactive strategies designed to avoid or minimize exposure to legal liability. -Helps business partners accurately understand the risks and consequences of the given situation or course of action. -Effectively communicates the risks and the consequences and develops alternatives to manage identified risks. -Identifies and analyzes legal issues, drafts key documents, presents clear recommendations and ensures legal compliance as it relates to the noted areas of law. -Stays current with legal developments, best practices and benchmarks in the noted areas of law and assists internal clients in implementing policies and procedures in response thereto. -Maintains a culture with a high degree of emphasis on dignity, respect, and inclusion. Critical skills -Supports the Treasury & Corporate Finance team on corporate finance and transactional matters as needed, including internal cash management activities (e.g., intercompany loans, cash-pooling arrangements, captive insurance, etc.). -Responsible for legal issues surrounding the company's banking and financing arrangements. -Assisting with the financial arrangements of the company's merger and acquisition activities worldwide including mergers, acquisition, divestitures and strategic investments. -Contributing to the structuring and negotiating of the company's global banking syndicated or bilateral facilities. -Provides management with clear interpretations of the company's trust indentures, major lease agreements, revolving credit facilities and other financing instruments. -Review, draft and negotiate credit agreements, lease agreements, trust indentures, NDAs and other financing arrangements, related to a variety of financial transactions in different jurisdictions (e.g., ISDA, OTC and other derivatives agreements, factoring arrangements, supply chain financing program, cross-border SBLCs, guarantees and other securitization products). -Experience advising on debt capital markets products and regulatory aspects, including: Investment grade bonds under US-Shelf registration (including due diligence and data room process), share repurchase programs under the US Securities Exchange Act, ESG financing (e.g., Sustainability-linked bonds (SLB), Sustainability-linked loans, Green, Social, Sustainability and Transition bonds), Short term-debts (e.g., commercial paper programs) -Supports the Treasury & Corporate Finance team on the company’s compliance with KYC and sanctions request as well as with applicable reporting registration, reporting, recordkeeping, clearing and other requirements under Dodd-Frank Act, Swiss regulation, EMIR, MiFID regulations, etc. -Assists the company's subsidiaries and joint ventures in negotiating their financing arrangements (e.g., credit facilities, banoing accounts, etc.). -Maintains effective working relationships with outside counsel. Desired profile -Juris doctor and licensed to practice law in a locale where PMI operates. -At least 8 years of concentrated experience in an international environment which demonstrate an in-depth knowledge and applied understanding of area of expertise; both in house and/or major law firm experience. -Prior experience with negotiating capital markets transactions preferred, but not required. -Previous managerial and leadership experience preferred. -Ability to work in a fast-paced environment, handle multiple, conflicting priorities while managing a substantial workload and client expectations. -Experience of working successfully in a highly results-oriented and performance-driven environment with a focus on excellence. -Ability to maintain an appropriate perspective regardless of the delicacy or pressure of a situation. -Robust interpersonal, networking, public speaking, and writing skills, with the confidence and credibility to act quickly, communicate effectively with diplomacy and civility, and command respect of both internal and external audiences. -Proven ability to think strategically and exercise sound judgment. -Ability to oversee complex projects and lead them to successful completion in an organized, efficient, and effective manner. -Ability to lead and work in a multi-disciplinary setting to achieve consensus. -Extreme attention to detail.
