Strengthen our team in Switzerland (Baden) with your expertise & experience as
Your main responsibility is to deal with all legal aspects in all parts of the business and in corporate governance. You are the legal advisor of our international business.
Your tasks
Corporate Governance
Manage legal aspects relating to Corporate affairs including Bord Meetings, General Assembly, Power of Attorneys, Delegation of Authority, etc. for Ansaldo Energia Switzerland Ltd and its branches and subsidiaries
Compliance
Compliance officer with assigned responsibilities from Group directives • Implementation of and compliance with Swiss legislation (such as data protection, export control)
New Unit and Service Business
Review, drafting and negotiating EPC and Service contracts, consortium agreements, financing agreements (such as tripartite deeds), bond wording, collateral warranty deeds, NDAs, ensuring access to and knowledge of various contract standards in the market (FIDIC, NEC)
Supply Chain
Creating and maintaining templates (T&Cs for service and/goods in German & English, NDAs) • Commenting, negotiating deviation from AES T&Cs and on supplier’s T&Cs
Research and Development
Support to various agreements relevant to Product & Technology (such as cooperation agreements with universities, partners, funding agreements)
Insurance
Maintaining property insurance in Switzerland • Under the Group’s umbrella policies, supporting branches and subsidiaries in insurance related matters • Alignment with Group insurance on project specific insurance matters
Your profile
Masters Degree in law • Minimum 5-10 years of experience from the industrial sector, preferably power industry, with a well proven track record • Knowledge of common and Swiss / German civil law • Open minded team player with a positive can-do attitude • Have strong interpersonal skills & being a good communicator • Strong negotiation and coordinating skills • Showing strong perseverance and ability to deal with ambiguity • Ability to work well under pressure and in challenging situations • Availability to travel globally (up to 20%) • Excellent command of English and German, knowledge of Italian would be an asset, other languages are an advantage.
