As part of its European external growth strategy, CSD Engineers is hiring an M&A Manager (m/w/d) - 80-100%in Zürich, Lausanne, Geneva or Lugano.
Your Duties
Identification and analysis of target companies in Europe;
Structuring and execution of external growth operations in coordination with the Management Board and other financial shareholders: ¨
- Financial and strategic review of targets; - Valuation and financial modelling; - Projections and identification of value creation potentials (e.g. synergies) in collaboration with internal operational managers; - Management/coordination of due diligence work; - Participation in the development and negotiation of legal documentation; - Financial structuring in collaboration with the CFO and the financial shareholder; - Coordination of the different advisors and stakeholders of the deal (lawyers, auditors, bankers, etc.).
Ahead of boards, preparation of decision-making support documents;
Participation in negotiations with sellers and other counterparties;
Participation in the successful integration of acquisitions (focus on management and finance);
Improvement and optimization of M&A-related processes and tools.
Your Profile
Minimum 5 years' experience in Mergers and Acquisitions: Investment Banking, Private Equity Funds, Transaction Services, Corporate M&A;
Strong technical skills, especially on small / mid cap deals: financial modeling and analysis, legal documentation, structuring, fundraising, etc.;
Origination capability;
Fluent (oral and written) in English, French - German is highly appreciated;
Master's degree from a business or engineering school (or equivalent University degree).
