We are a fast growing biotech company in Basel seeking a highly motivated Legal Counsel (100%) to join our biotech company Swiss Rockets AG and its subsidiaries. As a Legal Counsel, you will play an important role in providing legal guidance and support to the Chief Legal Officer and our organization. The ideal candidate should have a strong interest and background in the field of corporate and life sciences law.
Responsibilities:
- Support the Chief Legal Officer
- Stay informed about relevant laws, regulations, and industry best practices, and particularly Swiss corporate law, to ensure the organization's compliance
- Draft, review, and negotiate contracts and legal documents and collaborate with different departments to ensure that terms align with the organization's objectives
- With the support of one or several Paralegals in the Legal Department, manage and oversee corporate law matters requiring notarization (drafting documents for incorporations, capital increases, asset transfers etc.), investment agreements, capitalization tables, share registers, communication with notary and/or commercial register for the purpose of preliminary examination and registration of transactions and clarification of legal issues
- Support and guide corporate housekeeping and compliance activities
- Support transactional activities such as M&A, investments, joint ventures, and corporate restructuring
- Manage legal responses to internal matters, negotiations with external parties, and external communications regarding legal affairs
- Offer timely, results- and project-oriented legal guidance across all departments
- Supervise contract management
Requirements:
- Qualified lawyer in Swiss jurisdiction
- Fluency in German and English (written and spoken)
- Minimum two years of post-qualification experience in a reputable organization or law firm
- Excellent research, analytical, and drafting skills
- Strong attention to detail
- Proactive, pragmatic, and independent in managing tasks and projects
- Ability to handle a high volume of activity, able to set priorities, and deal positively with tight timelines
- Excellent communication and interpersonal skills
- Strong team player with sound legal and business judgment
- Experience in the biotech industry is advantageous
