Position: Partner & Head of Corporate Law
Location: Zurich
Workload: 100% Full-time
Objective
The Partner & Head of Corporate Law leads the corporate law practice of the firm and advises national and international clients on all corporate and commercial law matters.
Responsibilities
- Advising clients on all aspects of corporate and commercial law, including company formation, corporate structuring, and legal strategy
- Leading and executing complex corporate transactions such as mergers and acquisitions (M&A), joint ventures, spin-offs, restructurings, and capital increases
- Drafting, reviewing, and negotiating shareholder agreements, investment contracts, share purchase agreements (SPA), asset purchase agreements (APA), and related legal documents
- Strategic legal advice on corporate governance issues, the duties of the board of directors, executive compensation, and shareholder rights
- Advising clients on compliance with Swiss obligations law, corporate disclosure obligations, and relevant international legal standards
- Maintaining and expanding long-term client relationships through high-quality services and proactive engagement
- Developing business development strategies, contributing to thought leadership (e.g., articles, webinars, events), and representing the firm at industry conferences
- Mentoring and supervising junior lawyers and associates, promoting professional development and knowledge sharing
- Ensuring compliance with internal quality standards, billing targets, and operational goals
Requirements
Education
- Swiss bar admission and top-tier qualification
- Excellent academic qualifications in law (Master's degree / PhD)
- Additional studies in commercial law or financial law
Professional Experience
- At least 10 years of proven professional experience as a lawyer, preferably in a partner role in a law firm, an auditing firm, or in a senior position in the legal department of a bank or asset management company.
Languages
- Fluent style, good English and German skills
- Additional languages (e.g., French, Italian) are an advantage.
