In this role you will be a key member of the Corporate Legal Team, providing specialized legal support for Syngenta Group's global M&A activities across group business units and geographies, while advising senior executives on complex legal matters and document interpretation.
Accountabilities:
- Act as transaction lawyer, together with outside counsel, in connection with Syngenta Group's global M&A activities.
- Advise on the structuring of complex M&A projects, prepare, review and negotiate the relevant transaction documents, and support the M&A team in the due diligence process.
- Work efficiently across different functions and collaborate with multiple stakeholders including Syngenta Group's Chinese shareholder.
- Drive Syngenta Group's business strategy while finding workable solutions with respect to FDI, antitrust, tax and other challenges.
- Over time also support other legal counsels in managing all legal aspects in connection with a broad range of bank financing and debt capital markets transactions in the European, Chinese and US markets.
- Advise on the internal governance requirements for M&A and corporate finance transactions and draft the relevant documents and resolutions for the respective governance bodies.
- Select and manage outside counsel.
- Build and maintain strong working relationships with colleagues across different functions and teams located across the globe.

- Minimum of three years’ post qualification experience as a transaction lawyer gained in an international law firm or in-house at a multinational company. The ideal candidate has a strong focus on international M&A transactions and has already gained some experience in bank financing and debt capital markets transactions.
- The candidate had frequent exposure to and successfully handled complex legal problems in an international setup.
- Significant experience in international M&A transactions.
- Experience in bank and capital markets financing transactions is a plus.
- Experience in handling transactions related to China / representing Chinese corporations or investors and working experience in China is a plus.
- Strong project management, prioritization and execution skills.
- Ability to take ownership of discrete projects and be able to work without direct supervision.
- Capability to balance in-depth analysis and pragmatism on a case-by-case basis.
- Skill to find and present innovative and creative solutions.
- Outstanding interpersonal and communication skills, act in a professional manner.
- Highest standards of ethics and integrity and ability to always maintain confidentiality.
- Excellent English communication skills.
