Your mission
Your main role will be to assist our clients with all their corporate law questions and to supervise the work carried out by the less experienced members of our legal team in this area. You will work directly with the head of our legal department and participate in its development. You will also contribute to supporting our Zurich teams.
Your responsibilities will notably include:
- Advising our clients on the creation, structuring, and development of companies
- Supporting our clients during company formation and coordinating with notaries
- Drafting and reviewing commercial contracts, statutes, transfer deeds, intragroup agreements
- Advising our clients on corporate governance (organization of powers, risk prevention, etc.)
- Drafting and negotiating shareholder/partner agreements
- Drafting organizational regulations
- Creating and delivering training for our clients on corporate law
- Preparing minutes of ordinary and extraordinary general meetings as well as board meetings
- Drafting registration requests for the Commercial Register and monitoring procedures
- Advising our clients on transformation, merger, demerger, as well as asset transfer and drafting related legal documentation
- Conducting due diligence, drafting related reports, and participating in meetings with various stakeholders
- Drafting and reviewing share/part sales contracts and supporting clients through all stages from signing to transaction execution
Your profile
- You hold a Bachelor and Master in law (a lawyer’s license is an asset)
- You have 4-5 years of successful professional experience in a similar position
- You have excellent knowledge of labor law
- You have worked in a law firm, legal department, fiduciary, and/or legal protection
- You have excellent written and spoken command of French and English. German is an additional asset.
- You have very good analytical skills, are pragmatic, and enjoy working in a team
- You master Word and common IT tools
- You are organized, know how to manage priorities and meet deadlines. You also have good adaptability
- You are used to dealing with clients
- You have excellent interpersonal skills, are motivated and dynamic
