Job Description:
We are seeking a Structured Finance & Securitization Lawyer to support client engagements focused on complex credit and structured product transactions. This role is ideal for a high-caliber legal professional with 5–10 years of post-qualification experience, a strong academic background, and deep expertise in CLOs, direct lending, credit insurance, syndicated loans, and private credit structures. Candidates should demonstrate stability in prior roles, a commitment to excellence, and the ability to thrive in fast-paced financial services environments. The ideal candidate will have practiced at a top-tier law firm and advised clients on structured finance, securitization, and related credit transactions. NYC-based candidates are preferred.
Responsibilities:
- Provide legal counsel on structured finance transactions, including CLOs, private credit, and credit insurance structures.
- Draft, negotiate, and review transaction documents including indentures, loan agreements, offering memoranda, and collateral management agreements.
- Advise clients on legal risks, regulatory developments, and market trends impacting credit and securitization deals.
- Support clients engaged in syndicated lending, direct lending, and securitized product investments.
- Collaborate with legal, compliance, and business teams at leading financial institutions and funds to facilitate complex financial transactions.
- Maintain a high standard of responsiveness and legal acumen in deadline-driven deal environments.
Minimum Qualifications:
- JD or equivalent with active bar membership in good standing.
- 5–10 years of experience at a top-tier law firm or in-house legal department focused on structured finance or securitization.
- Demonstrated expertise in CLOs, private credit, and credit-related legal structures.
- Strong academic credentials and a stable work history.
- Excellent drafting, negotiation, and client-facing communication skills.
- Ability to work independently and manage multiple priorities under tight timelines.
Preferred Skills:
- Experience advising on credit insurance policies and regulatory aspects of structured credit.
- Familiarity with institutional investors, including private equity firms and credit funds.
- In-depth knowledge of syndicated loan structures and credit intermediation strategies.
- New York bar admission preferred.
Compensation, Benefits & Location:
This role offers a range of competitive compensation starting at $150,000, and a highly competitive benefits package in the alternative legal services marketplace that includes health benefits, 401k, and more.
