Position Purpose
As a Paralegal (50%), you will support the General Counsel (based in the US) and the wider Legal function in handling all legal, corporate and contractual matters of vVARDIS AG. You will be the first point of contact for administrative and operational tasks within the Legal department and ensure that internal processes, documents and compliance topics are managed in a structured, timely and high-quality manner.
In this role, you will work closely with various functions (Finance, People, Commercial, R&D) as well as with external law firms and authorities. You will help identify, document and manage legal risks at an early stage and contribute with diligence, discretion and a high level of ownership to our international, dynamic MedTech environment.
This role requires afternoon availability 50% of the time to support close collaboration with our US-based team.
Key Responsibilities
Corporate Housekeeping
Support the preparation and execution of shareholder meetings and board meetings, including invitations, agendas, minutes and resolutions.Maintain corporate housekeeping (articles of association, by-laws, shareholder and share registers, signatory rules) and prepare commercial register filings and amendments.Maintain and update the group structure documentation, group charts and powers of attorney.
Contract Law / Commercial
Draft, review and adapt standard agreements (NDAs, consultancy agreements, supplier and customer contracts, simple distribution and service agreements) based on internal templates and guidance from the General Counsel.Coordinate the contract workflow: obtain internal approvals, manage signature processes (e.g. via e-signature tools), filing as well as tracking of deadlines, renewals and terminations.Build and maintain a structured contract database, including reporting on active contracts, deadlines and escalation items.
IP Support (Coordination with External Counsel)
Act as the central point of coordination between internal stakeholders and external IP law firms (trademarks, patents, designs) – in particular, routing requests, gathering information and following up on open items.Maintain IP overviews (trademark, patent and license portfolio) and monitor deadlines and renewals in coordination with the appointed counsel.Provide administrative support for IP-related agreements (e.g. license, co-development or confidentiality agreements) and gather and prepare the required documentation.
Compliance, Data Protection & General Legal Administration
Support the implementation and maintenance of internal policies and compliance processes (e.g. Code of Conduct, anti-bribery, conflicts of interest).Assist with data protection topics under the Swiss FADP and EU GDPR (e.g. records of processing activities, data processing agreements, data subject requests) in coordination with the General Counsel.Provide general administrative support to the Legal team: organizing meetings, preparing materials, performing research and ensuring structured digital filing in SharePoint/M365.
Required Qualifications & Experience
- Completed commercial apprenticeship combined with a paralegal qualification (e.g. Paralegal HF/FA, Rechtsfachfrau/-mann mit eidg. Fachausweis) or a comparable qualification.
- 1–3 years of professional experience in a comparable role within an in-house legal department, a law firm or a notary office in Switzerland.
- Solid working knowledge of Swiss contract and corporate law (CO, CC); first exposure to IP and/or data protection topics is a plus.
- Confident user of Microsoft 365 (in particular Word, Excel, SharePoint, Teams) and an affinity for digital tools (e.g. contract management, e-signature or DMS solutions).
- Excellent English and very good German, both written and spoken; additional languages (French, Italian) are a plus.
- Ability to draft precise and well-structured legal and general business texts in both languages.
